Terms of Service

1. Acceptance of Terms

Using the Software constitutes unconditional acceptance of these Terms. All sales are final: licenses are non-refundable once delivered, except in the case of a verified technical defect under our Refund Policy.

2. Product Description

VIA is an agentless assessment tool for VMware vSphere environments. The Software connects read-only to a vCenter, collects infrastructure metadata, scores per-VM complexity (VMCS), and produces a deliverable report. Analysis is 100% local, no customer data is transmitted to MB Conseil TI Inc. or any third party.

3. License Grant

We grant you a non-exclusive, non-transferable, 12-month license from the date of purchase to use VIA against a single vCenter identified by its unique UUID. The number of executions during the license period is unlimited. The license expires at the end of the term unless renewed.

4. Intellectual Property

VIA and all source code, assessment rules, documentation, and associated artefacts remain the exclusive property of MB Conseil TI Inc. No rights other than those expressly granted in these Terms are conferred to you.

5. Restrictions

You agree not to: (a) disassemble, decompile, or reverse-engineer the Software; (b) resell, lease, or redistribute the Software; (c) circumvent licensing or expiration mechanisms; (d) use the Software to attack any third-party system or to violate any applicable law.

6. Warranty Disclaimer

VIA is provided "as is", without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, nor that analysis outputs are suitable for investment or operational decisions without human validation.

7. Limitation of Liability

To the maximum extent permitted by law, the aggregate liability of MB Conseil TI Inc. for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Software is limited to the amount paid by the Licensee for the current annual license. We are not responsible for migration decisions made on the basis of the produced report.

8. Termination

We may terminate your license with reasonable notice upon breach of these Terms. Upon termination, you must cease all use of the Software and destroy copies in your possession. Sections 4, 5, 6, 7, and 9 survive termination.

9. Governing Law

These Terms are governed by the laws of the Province of Québec and applicable federal laws of Canada. Any dispute will be submitted to the exclusive jurisdiction of the courts of the judicial district of Québec, Québec, Canada.
