Terms of Service
These Terms govern access to the MB Tools VIA · Virtual Infrastructure Analyzer software ("VIA", "the Software") distributed by MB Conseil TI Inc. ("we"). By purchasing, downloading, or using the Software, you ("the Licensee") accept these Terms.
1. Acceptance of the Terms
Using the Software constitutes unconditional acceptance of these Terms. All sales are final: licenses are non-refundable once delivered, except in the case of a verified technical defect under our Refund Policy.
2. Product description
VIA is an agentless assessment tool for VMware vSphere environments. The Software connects read-only to a vCenter, collects infrastructure metadata and, if the Licensee enables the optional guest passes (L2/L3) by providing guest credentials, guest operating system metadata (see section 2 of the privacy policy), scores per-VM complexity (VMCS), and produces a report. Analysis is 100% local: no customer data is transmitted automatically to MB Conseil TI Inc. or any third party. Only what the Licensee chooses to share (for example a support bundle sent at the request of support, see section 8 of the privacy policy) reaches us.
3. License grant
We grant you a non-exclusive, non-transferable, 12-month license from the date of purchase to use VIA against a single vCenter identified by its UUID. The number of executions during the license period is unlimited. The license expires at the end of the term unless renewed. During the private beta, by exception, the beta license is free, valid 30 days from issuance and renewable at no cost on request throughout the beta; no automatic conversion or billing takes place. The 12-month term applies to commercial licenses.
4. Intellectual property
VIA and all source code, assessment rules, documentation, and associated artifacts remain the exclusive property of MB Conseil TI Inc. No rights other than those expressly granted in these Terms are conferred on you.
5. Restrictions
You agree not to: (a) disassemble, decompile, or reverse-engineer the Software; (b) resell, lease, or redistribute the Software; (c) circumvent licensing or expiration mechanisms; (d) use the Software to attack any third-party system or to violate any applicable law.
6. Warranty disclaimer
VIA is provided "as is", without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, nor that analysis outputs are suitable for investment or operational decisions without human validation.
7. Limitation of liability
To the maximum extent permitted by law, the aggregate liability of MB Conseil TI Inc. for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Software is limited to the amount paid by the Licensee for the current annual license. We are not responsible for migration decisions made on the basis of the report produced.
8. Termination
We may terminate your license with reasonable notice upon breach of these Terms. Upon termination, you must cease all use of the Software and destroy copies in your possession. Sections 4, 5, 6, 7, and 9 survive termination.
9. Governing law
These Terms are governed by the laws of the Province of Quebec and applicable federal laws of Canada. Any dispute will be submitted to the exclusive jurisdiction of the courts of the judicial district of Quebec, Quebec, Canada.
